Our expert will review the asking price with you and provide a realistic analysis, considering various factors and the sector. They will also examine how quickly you can recoup your investment and how to finance it.
This program follows the intake interview.
1. Asking Price Evaluation
Our expert assesses the asking price based on:
- Intrinsic value (net asset value – excluding goodwill)
- Return value (free cash flow and comparison with the sector)
Based on this, you get a clear picture of the company's value and can confidently proceed to financing.
2. Financing
Beyond bank credit, a modern financing mix offers many possibilities. Our experts provide a basic analysis of the transaction and then present an overview of various financing options available in the market:
- Internal business financing
- Financing from shareholders and directors
- Bank financing
- Vendor loan (deferred payment by the sellers)
- Government financing / government guarantees
- The market, including crowdfunding, friends, fools & family, etc.
Based on this analysis and information, you can make an informed decision and have sufficient information to further concretize the acquisition financing.
3. Defined Due Diligence
Understanding the financial situation of the company you wish to acquire is crucial. To identify potential financial risks in a timely manner, our experts screen the balance sheet and income statement:
- Are all receivables collectible, or are there doubtful debtors involved?
- Are there financial debts? What about current accounts?
- Have exceptional circumstances affected the result/profitability?
- Is the EBITDA calculation accurate?
- Which insurance premiums are included in the costs?
- ...
When acquiring a business, it's also important that all tax and social debts are paid. Can the seller provide the necessary certificates to prove this?
All this information is summarized in a clear due diligence report. We also add a clear overview of the active staff.
If specific risks are identified during due diligence, you, as the buyer, have the option to renegotiate the price or possibly demand additional statements and guarantees from the seller.
Our experts only identify existing and future risks of the business to be acquired, as described above. Other fiscal, operational, legal, social, environmental, etc., elements fall outside the scope of this offer.
